Terms of service

These terms govern your use of the submittal.io service, operated by the administrator of the submittal.io service. By creating an account, joining a workspace or using the service in any other way, you agree to these terms. If you accept them on behalf of a company, you confirm that you have authority to bind that company, and "you" means that company.

1. What the service is

Submittal is construction submittal software for business use. It reads project specifications with AI, builds a submittal register from Part 1 Submittals articles, groups items into packages, routes them through review with stamps such as Approved, Approved as noted, Revise and resubmit, Rejected and For record only, tracks ball in court, due dates and lead times, keeps version history and exports logs, transmittals and closeout binders. The features of each plan are listed on the pricing page and described on the features page.

2. Business use only

The service is offered to businesses and professionals for their commercial work, such as general contractors, subcontractors, architects, engineers and owner's representatives. It is not offered to consumers for personal or household purposes.

3. Accounts

You need an account to use the service beyond the one-time demo. You must give accurate information, use a work email address you control and keep your sign-in details and one-time codes secret. You are responsible for activity under your account and must tell us at [email protected] without delay if you suspect unauthorized access.

4. Workspaces and roles

A workspace belongs to the customer that pays for it. The workspace owner decides who joins as an internal member, which external reviewers and subcontractors are invited to a project and which roles they hold. Internal member limits depend on the plan. External reviewers and subcontractors join a paid project at no cost on every plan, and they use the service only within the projects they are invited to.

5. The one-time demo

The demo in the hero lets you upload a short spec section and see part of the resulting log once. It is offered as a preview of the product, the full log and exports open after signup and subscription, and a demo export carries a watermark and is not a finished deliverable.

6. Plans and active projects

The service is sold only as a subscription. Plans are priced per active project and carry monthly limits on spec pages read by AI, as shown on the pricing page. A project counts as active until you archive it. Archived projects stay readable and exportable and do not count toward the active project limit. Usage limits are counted as usage in the billing period, so deleting or archiving a project does not return spec pages already read.

7. Billing periods and renewal

You can pay monthly or yearly. Yearly billing is charged in advance for twelve months at the discounted price shown when you subscribe. Each subscription renews automatically at the end of its period for the same length of time, at the price in effect at renewal, until you cancel. We tell you about price changes by email before they apply to your next renewal.

8. Plan changes

When you move to a higher plan or from monthly to yearly billing, the price difference for the rest of the current period is charged right away and the new plan starts once that payment succeeds. When you move to a lower plan, the change takes effect at the next renewal and no amount is returned for the current period.

9. Taxes and failed payments

Prices exclude taxes unless stated otherwise, and taxes are added where the law requires. If a payment fails, our payment provider may retry it. If payment cannot be collected, we may limit the workspace to read and export access until the balance is paid.

10. Cancellation and refunds

You can cancel at any time from your account. Cancellation stops future renewals, and you keep access until the end of the period you already paid for. Payments are final and are handled under our refund policy, which forms part of these terms.

11. Customer content stays yours

Spec books, drawings, product data, shop drawings, comments, stamps and every other file or text you or your invited users upload or create remain the property of you or your licensors. You grant us a limited license to host, copy, process and display that content only as needed to run the service for you, including AI processing of spec text. Spec text sent for AI processing is not used to train models.

12. Your responsibility for content

You confirm that you have the right to upload the content you put into the service, including documents prepared by architects, engineers, manufacturers and subcontractors on your project, and that doing so does not breach any confidentiality obligation in your contract.

13. Export and deletion

You can export your submittal log to Excel, CSV and PDF, along with transmittals and, on Business and Enterprise, closeout binders, at any time while your subscription is active and during read and export access after it ends. Deletion of personal data follows our privacy policy.

14. AI output must be reviewed

The register rows, package suggestions, due date suggestions and any other output produced with AI are a starting point for your own work. AI can miss a requirement, misread a paragraph, merge two items or pick the wrong submittal type. You must review every row against the project specification, drawings, addenda and contract documents before relying on it, and every row in the log links back to its source paragraph so you can check it.

15. You stay responsible for compliance

You remain fully responsible for the completeness and accuracy of your submittal register, for the content and timing of each submittal, for compliance with the specifications and for meeting your obligations under your contract, including submittal schedules, review periods, procurement and closeout requirements. Approval stamps recorded in the service reflect decisions made by your users, not by us.

16. No professional advice

The service does not provide professional engineering, architectural, legal or code compliance advice, and nothing in it replaces the review of a licensed design professional. We do not review submittals for technical conformance, and we are not a party to any contract between the owner, the design team, the general contractor and the subcontractors on your project.

17. What you must not do

  • Upload content you have no right to share or content that is unlawful, harmful or infringes the rights of others
  • Try to access workspaces, projects or data you are not invited to, or test the security of the service without written permission
  • Interfere with the operation of the service, overload it on purpose or bypass usage limits
  • Copy, resell or rebuild the service, or scrape it with automated tools outside the API access included with Business and Enterprise plans
  • Upload malware or use the service to send unsolicited messages
  • Share sign-in details or let several people use one internal member seat

We may suspend access that breaches this section, and where possible we tell you first and give you a chance to fix the problem.

18. Availability and changes

We work to keep the service available and to fix faults quickly, but we do not promise uninterrupted operation without errors, except where an Enterprise SLA agreed in writing says otherwise. We may improve, change or replace features as long as the core function of your plan stays in place for the period you paid for.

19. Termination

You may stop using the service and cancel at any time. We may end or suspend your access if you materially breach these terms, fail to pay, or if the law requires it. After a subscription ends, the workspace moves to read and export access for a reasonable period so you can take your records, after which we may delete project content as described in our privacy policy.

20. Disclaimer

Except as expressly stated in these terms, the service is provided as is and as available, and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, to the extent the law allows.

21. Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, schedule delays, liquidated damages, back charges, rework costs or lost data arising from your use of the service, including from reliance on AI output that you did not review. Our total liability for all claims relating to the service is limited to the amount you paid us for the service in the twelve months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law.

22. Indemnity

You will defend and indemnify us against third party claims arising from content you upload, from your breach of these terms or from your use of the service in breach of the law or of your contract obligations.

23. Governing law and disputes

These terms are governed by the laws that apply at the seat of the administrator of the submittal.io service, without regard to conflict of law rules. Before starting any formal dispute, you agree to contact us at [email protected] and give us thirty days to try to resolve the matter.

24. Changes to these terms

We may update these terms when the service or the law changes. We change the date at the top of the page and, for significant changes, notify account holders by email before they take effect. Continued use after the effective date means you accept the updated terms. If you do not agree, you can cancel before the change applies.

25. Other provisions

If any part of these terms is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not transfer your rights under these terms without our consent. These terms, the privacy policy and the refund policy are the entire agreement between you and us about the service, unless an Enterprise agreement signed in writing says otherwise.

26. Contact

Questions about these terms go to [email protected]. See also the contact page and the security overview.
